Understanding Company Restoration

What is Company Restoration?

Company restoration is the legal process of returning a dissolved company back onto the Companies House register.

Once restored, the company is generally treated as though it had never been dissolved. This means the company can:

Trade again
Recover assets
Access frozen bank accounts
Continue contracts
Resolve outstanding tax or compliance matters

Why Do Companies Get Dissolved?

Companies House may strike off a company if it fails to meet its legal obligations. Once dissolved, the company legally ceases to exist.

Annual Accounts Not Filed

Companies must file annual accounts on time. Failure to do so can result in strike-off.

Confirmation Statements Overdue

Missing annual confirmation statements is a common cause for strike-off.

HMRC Correspondence Ignored

Failing to respond to HMRC letters and notices can lead to company closure.

Invalid Registered Office

If the registered office address becomes invalid, Companies House may strike off the company.

Company No Longer Appearing Active

Companies that appear inactive for an extended period may be identified for strike-off by Companies House.

The Most Common Route

What is Administrative Restoration?

Administrative Restoration is the most common way to restore a dissolved company in the UK. It allows eligible directors or shareholders to apply directly through Companies House without going to court.

Eligibility Requirements:

  • The company must have been struck off within the last 6 years
  • The company must have been struck off by Companies House
  • The company must have been carrying on business or in operation at the time of dissolution

Even dormant companies can sometimes qualify for restoration. Once restored, the company is generally treated as though it had never been dissolved.

Who Can Apply?

You can usually apply if you were:

A Director
A Shareholder
A Company Member

The application must normally be made within six years of dissolution.

Our Process

What Does the Company Restoration Process Involve?

The restoration process typically includes the following steps:

1

Reviewing Eligibility

We assess whether your company qualifies for restoration and identify any issues that need resolving before proceeding.

2

Preparing Outstanding Filings

This may include annual accounts, confirmation statements, and corporation tax matters that need to be filed.

3

Liaising with Companies House

We communicate directly with Companies House and HMRC on your behalf throughout the entire process.

4

Recovering Company Assets

If company assets or bank balances have passed to the Crown, additional steps may be required to recover them.

5

Restoring the Company

Once approved, your company is restored to the Companies House register and you can resume trading immediately.

Asset Recovery

Important: Company Assets & Bona Vacantia

When a company is dissolved, any remaining assets usually pass to the Crown under rules known as Bona Vacantia.

What is Bona Vacantia?

Bona Vacantia (literally "ownerless goods") refers to assets that pass to the Crown when a company is dissolved without a proper distribution of assets.

This can include:

Company Bank Accounts

Property

Cash Balances

Intellectual Property

Asset Recovery After Restoration

If assets need to be recovered, additional documentation and approvals may be required from the Bona Vacantia Division. Once the company is restored, it may be possible to recover these assets.
